Itron, Inc., a leading smart metering and energy infrastructure technology company, has disclosed a cybersecurity incident after an unauthorized third party gained access to certain of its internal systems, according to a Form 8-K filing submitted to the U.S. Securities and Exchange Commission (SEC) on April 13, 2026.
Itron was notified on April 13, 2026, that threat actors had successfully breached portions of its corporate network.
The company, headquartered in Liberty Lake, Washington, and publicly traded on the NASDAQ Global Select Market under the ticker symbol ITRI, immediately activated its cybersecurity response plan upon learning of the intrusion.
The company engaged external cybersecurity advisors to investigate the scope of the breach, assess the damage, and contain further unauthorized activity. As part of its incident response protocol, Itron also notified law enforcement authorities proactively.
According to the SEC filing, Itron took swift action to remediate the unauthorized access and remove the threat actors from its systems.
The company confirmed that no subsequent unauthorized activity has been observed within its corporate environment following containment efforts.
Critically, Itron stated that no unauthorized access was detected in the customer-hosted portions of its systems, meaning customer data environments appear to have remained unaffected during the incident.
Thanks to existing contingency plans and data backup systems, Itron’s business operations continued without significant disruption.
The company also noted that a substantial portion of direct incident-related costs is expected to be reimbursed through its cyber insurance coverage.
Itron is currently evaluating what regulatory notifications and legal filings may be required as a result of the breach. The investigation remains ongoing, and the company has not yet determined the full scope of the compromised data or systems.
Despite the incident, Itron stated it does not currently believe the breach will have a material financial impact on the company.
However, the filing cautioned that this assessment could change depending on investigation findings, including any potential exposure of sensitive third-party data.
